Terms of Service

1. Agreement to Terms

By accessing or using VuduVations' services (the "Services"), including but not limited to Strategic Call Intelligence (SCI), AI Discovery, Key Person Audit, and related analysis tools, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Services.

2. Use of Services

2.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2.2 Account Registration

Certain features of our Services may require you to register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept all responsibility for activity under your account
• Notify us immediately of any unauthorized access

2.3 Acceptable Use

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Violate or infringe the rights of others, including intellectual property rights
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Use automated systems (bots, scrapers) without our written permission
• Resell, redistribute, or sublicense the Services without authorization
• Reverse engineer or attempt to extract source code from our Services

3.1 Credit-Based Model

VuduVations operates on a credit-based pricing model. Credits are required to run analyses:

• Credit Packs: One-time purchases of analysis credits ($25 for 1 credit, $100 for 5, $175 for 10, $375 for 25)
• Credit Expiration: Purchased credits expire 90 days from purchase date
• Credit Usage: Each analysis (Sales Intel, AI Discovery, Key Person Audit) consumes 1 credit; M&A Diligence consumes 2 credits
• Demo Analyses: Interactive demo samples are available without credits for evaluation purposes

3.2 Protocol Advanced & Institutional Memory

These unlock premium export features for a specific product scope. Availability and pricing are contact-gated — reach out to discuss scope before purchase:

• Protocol Advanced: Premium exports for one product (Sales Intel, AI Discovery, M&A Diligence, or Key Person Audit) with single Knowledge Graph
• Institutional Memory: Premium exports for all products with multi-KG Memory Dashboard and full pipeline access
• Premium Features: Knowledge Graph JSON, Neo4j/Cypher exports, Cypher Console, Graph Chat
• Standard Exports: PDF and CSV exports are included with all credit-based analyses

Note: These tiers unlock export features but do not include credits. Credits are still required to run analyses.

3.3 Secure Archive (Storage Subscription)

By default, VuduVations does not retain your analysis results after processing. For users who require persistent storage:

• Secure Archive + Chat ($50/month): Enables persistent, encrypted storage of your analysis results, the interactive Knowledge Graph, and graph export
• Access: Stored results are accessible via your dashboard for the duration of your subscription
• Cancellation: Upon cancellation, you have 30 days to export your data before deletion
• Encryption: All stored data is encrypted at rest (AES-256) and in transit (TLS 1.3)

3.4 Payment Terms

For paid services:

• Credit packs and Institutional Memory are one-time purchases, charged immediately
• Secure Archive subscriptions are billed monthly in advance
• All fees are non-refundable except as required by law
• Unused credits expire after 90 days and are not refundable
• We reserve the right to change pricing with 30 days' notice for subscriptions

3.5 Cancellation

You may cancel your Secure Archive subscription at any time. Cancellations take effect at the end of the current billing period. You will have 30 days after cancellation to export any stored analysis results.

4.1 What We Do Store

• Account Information: Email, name, authentication data (via Clerk)
• Purchase History: Credit purchases, subscription status, transaction records
• Usage Metadata: Timestamps, credit consumption, analysis IDs (not content)

4.2 Secure Archive Subscribers

If you subscribe to Secure Archive, your analysis results are stored with:

• AES-256 encryption at rest
• Row-Level Security (RLS) ensuring only you can access your data
• Automatic deletion 30 days after subscription cancellation
• Full export capability at any time during your subscription

4.3 AI Model Training

We do NOT use your content to train our own AI models. Where available for the applicable provider/account configuration, we use provider API data controls intended to minimize retention. Provider handling remains subject to the provider's current terms and the configuration in effect for the request.

5. Intellectual Property Rights

5.1 VuduVations Intellectual Property

The Services, including all content, features, functionality, software, and AI models, are owned by VuduVations and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. "Consulting-as-Code" is a trademark of Sean Halverson.

5.2 Your Content

You retain ownership of content you upload or submit to our Services ("Your Content"). By submitting Your Content, you grant VuduVations a limited, non-exclusive license to use, process, and analyze Your Content solely to provide the Services to you.

5.3 Generated Reports

Reports and analyses generated by our Services are licensed to you for your internal business use. You may not resell or redistribute these reports without written permission, except to your clients if you are a consultant using our services for client engagements.

6.1 No Professional Advice

Our Services provide analysis and insights but do not constitute professional advice. VuduVations is not a licensed consulting firm, investment advisor, or accounting firm. You should consult qualified professionals before making business decisions based on our Services.

6.2 AI Limitations and Results Disclaimer

Our Services use artificial intelligence and machine learning models. While we strive for accuracy, AI-generated content may contain errors, biases, or inaccuracies. You acknowledge that:

• AI outputs should be reviewed and validated by qualified personnel
• VuduVations does not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are solely responsible for decisions based on our Services
• Results may vary significantly based on input quality, data completeness, and specific use cases
• Financial projections, ROI estimates, and savings calculations are illustrative only
• Our grounding, extraction, and validation mechanisms are engineered to enforce accuracy by construction rather than assert it after the fact, but the underlying system is under continuous improvement — new failure modes can surface as it encounters inputs it has not seen before, and we correct defects as they are identified. Enforcement built into the pipeline reduces error; it does not guarantee the pipeline is defect-free

6.3 Service Availability

Services are provided "AS IS" and "AS AVAILABLE." We do not warrant that Services will be uninterrupted, timely, secure, or error-free.

7. Third-Party Services

Our Services integrate with third-party providers:

• Authentication: Clerk (user authentication)
• Payment Processing: Stripe (billing and payments)
• AI/ML Providers: Anthropic and other configured providers, subject to applicable provider data controls
• Database: Supabase (data storage with RLS)
• Hosting: Vercel (application hosting)
• Email: Resend (transactional emails)

Your use of our Services is subject to these providers' terms. VuduVations is not responsible for third-party service availability or conduct.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VUDUVATIONS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Business interruption or loss of goodwill
• Any damages arising from your use or inability to use the Services
• Loss of data due to not subscribing to Secure Archive

Our total liability for all claims shall not exceed the amount you paid to VuduVations in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless VuduVations, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or any content you submit

10. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Unused credits are not refundable upon termination.

11.2 By VuduVations

We may suspend or terminate your access immediately, without prior notice, for violation of these Terms, non-payment, fraudulent activity, or at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. If you have Secure Archive, you have 30 days to export your data. Unused credits expire and are not refunded.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms with a new "Last Updated" date and, for significant changes, sending an email to your registered address. Continued use after changes constitutes acceptance.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

• Informal Resolution: Contact us at [email protected] to resolve informally
• Binding Arbitration: If informal resolution fails, disputes will be resolved by binding arbitration in Clark County, Nevada
• Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions

14. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement.
• Severability: If any provision is unenforceable, remaining provisions continue in effect.
• Waiver: No waiver of any term shall be deemed a continuing waiver.
• Assignment: You may not assign these Terms. VuduVations may assign without restriction.
• Force Majeure: We are not liable for failures due to circumstances beyond our control.
